Brand Elite is a digital marketing agency at 1569, 2nd Floor, 7th Main, 4th Cross Rd, RPC Layout, Vijayanagar, Bengaluru, Karnataka 560104 (GST: 29ABCFB4922F1ZM).

• “Brand Elite”, “we”, “us”, “our” means Brand Elite and its team.
• “Client”, “you” means the person or business that uses our website or buys our services.
• “Services” means the work we do, such as website design and development, SEO, AI-SEO, social media marketing, paid advertising, content creation, personal branding, online reputation management, AI automation and hosting.
• “Proposal” means the quote, proposal, invoice, email or message that describes the services, price and timeline agreed for you.
• “Deliverables” means the finished work we hand over, such as a website, designs, videos, posts or reports.

• The content on brandelite.in is for general information only. We try to keep it accurate and up to date, but we do not promise that it is complete or free of errors.
• The website’s design, text, graphics, logos, videos and code belong to Brand Elite (or are used with permission). You may not copy, reuse or sell them without our written permission.
• You agree not to misuse the website: no hacking, spam, fake form submissions, harmful code, or anything unlawful.
• Links to other websites are for convenience only. We are not responsible for their content.

• The exact services, deliverables, price and timeline for each client are written in the Proposal. The Proposal and these Terms together form our agreement. If the two ever differ, the Proposal applies.
• Work that is not written in the Proposal is outside its scope. We will share a separate quote for any extra work before starting it.
• A Proposal is valid for the period mentioned in it. After that, prices may change.
• We may use trusted team members, freelancers or partners to deliver parts of the work. Brand Elite remains responsible for the work.
• Approvals, feedback and instructions given by email or WhatsApp count as written approval.

• Website projects: 100% of the fee is paid in advance, before work starts.
• Monthly services (such as SEO, social media and ads management): the fee is paid in advance each month, on the same date the service started.
• GST: 18% GST is added to all prices unless the Proposal clearly says otherwise.
• Extra costs are not part of our fee unless the Proposal says so. These include ad budgets, domain and paid software or plugins, stock images or music, printing, travel outside Bengaluru, and third-party tools. We will tell you about them before they are bought.
• Payments are made by bank transfer, UPI or another method we agree on. You will receive a GST invoice for every payment.
• If you deduct TDS, please share the TDS certificate within the time set by law. Until we receive it, the deducted amount is treated as unpaid.
• Please raise any billing question with us first, before contacting your bank. Card chargebacks or payment reversals for work already done are not allowed.
• For ongoing services, we may revise our prices with at least 30 days’ notice by email.

If a payment is more than 15 days late, we may pause all work, including website work, content, reports and ads management, until the payment is received. Timelines move by the length of the pause. We are not responsible for any loss, drop in rankings, reach or leads, or missed deadlines caused by the pause.

• Monthly services have a minimum period of 3 months, unless the Proposal says otherwise.
• After the minimum period, either side can stop the service by giving 30 days’ notice by email.
• The fee for the notice period must be paid. Months already paid are not refunded for unused days.

• The money spent on ads (for example on Google, Meta, LinkedIn or YouTube) is paid by you directly to the ad platform, using your own payment method. It is separate from our management fee.
• The ad platforms decide what they charge, how ads are approved and how they perform. We are not responsible for platform charges, account suspensions, ad rejections or policy changes, although we will help you resolve them.
• You approve the budget. We will not increase your ad budget without your approval.
• We work to bring genuine leads, but we cannot control fake, spam or duplicate leads that come through ad platforms. Such leads are not a reason for a refund.

To help us deliver on time, you agree to:

• share the content, photos, logins, access and information we need, on time;
• give feedback and approvals within a reasonable time;
• make sure the information you give us is true and accurate;
• make sure you own, or have permission to use, every logo, photo, video, text and trademark you give us;
• make sure your products, services, offers and claims follow the law and the rules of your industry (for example medical, real estate (RERA), education or finance rules);
• keep your account passwords safe, and tell us if access needs to be removed.

Once you approve a post, ad, video or page, you are responsible for its content and claims.

• Timelines in the Proposal are our best estimate. They depend on you sharing content, access and approvals on time.
• If you delay, the timeline moves by at least the same amount of time.
• If we do not hear from you for 30 days during a project, even after reminders, we may close the project. Payments made are not refunded. Restarting the project later may be charged as a new project.

• Each design, page, video or piece of content includes 3 rounds of revisions, unless the Proposal says otherwise.
• A revision means changes to the work already agreed. New ideas, new pages or a change of direction count as new work and will be quoted separately.
• Extra revision rounds, and changes asked for after you have approved the work, are charged extra.

• Once you have paid in full, the final deliverables made for you (such as your website, designs, videos and content) belong to you.
• Until full payment, all work stays the property of Brand Elite.
• Our own tools, templates, methods, code libraries and know-how stay with Brand Elite. You receive the right to use them as part of your deliverables.
• Themes, plugins, fonts, stock images and music from other companies follow their own licences.
• Your social media pages, ad accounts, Google Business Profile and website data always belong to you. We only use the access you give us.
• We may show the work we did for you (including your name and logo) in our portfolio, case studies and social media. If you prefer that we don’t, tell us in writing.

• When Brand Elite manages your hosting and domain, renewals are yearly and paid in advance. If a renewal is not paid on time, the website or domain may stop working, and we are not responsible for any loss this causes.
• We rely on trusted hosting providers. We are not responsible for outages or data loss caused by them, but we will work with them to fix any problem as quickly as possible.
• If you decide to move away from Brand Elite, we will hand over your website files and domain once all dues are cleared.

• After your website goes live, we fix any errors in the work we delivered free of charge for 30 days.
• New features, design changes, content updates and problems caused by changes made by you or others are not included. These are charged separately, or covered by a maintenance plan.

• Marketing results depend on many things outside our control, such as search engine and social media algorithms, competition, your product, pricing and market conditions.
• So we do not guarantee any specific rankings, traffic, leads, followers or sales. We promise honest effort, proven best practices and clear reporting.
• Google, Meta, LinkedIn, YouTube, WhatsApp and other platforms may change their rules or suspend accounts at any time. We are not responsible for such actions, but we will help you deal with them.

We never buy fake followers, likes, views or reviews, and we never use spam or “black-hat” SEO tricks that can get your business penalised. We may refuse any work that we believe is illegal, misleading or harmful.

Both sides will keep each other’s private business information (such as plans, prices, customer data, logins and results) confidential. It will be used only to carry out the work, during the agreement and after it ends. This does not apply to information that is already public, or that must be shared by law. How we handle personal data is explained in our Privacy Policy.

During our work together and for 24 months after it ends, you agree not to directly or indirectly hire, or engage as a freelancer, any Brand Elite team member who worked on your account, without our written permission.

• Our total liability for any claim is limited to the fees you paid us in the 3 months before the claim.
• We are not liable for indirect losses, such as lost profits, lost business, lost data or damage to reputation. We are also not liable for problems caused by third-party platforms, hosting providers, or content and information you supplied.

You agree to protect Brand Elite from any claims, losses or legal costs that arise from the content, materials or information you gave us, from your products and claims, or from your breach of these Terms.

• You can stop monthly services as explained in section 6.
• We may pause or end our services with notice if payments are not made, if these Terms are broken, if a client behaves abusively towards our team, or if the work would break the law.
• When the agreement ends, you pay for all work done and all fees due up to the end date. We return your access, and you should remove our access to your accounts.

Refunds are covered by our Refund Policy, which forms part of these Terms.

We are not responsible for delays or failures caused by events outside our reasonable control, such as natural disasters, pandemics, power or internet outages, platform shutdowns, strikes or government action.

• Entire agreement: these Terms, the Proposal and our policies form the full agreement between us.
• Severability: if any part of these Terms is found invalid, the rest still applies.
• No waiver: if we do not enforce a term at once, we can still enforce it later.
• Changes: we may update these Terms from time to time. The latest version will always be on this page. Ongoing work continues under the Terms agreed in your Proposal until it is renewed.

These Terms are governed by the laws of India. If a disagreement arises, both sides will first try to settle it by talking, within 30 days. If that fails, the courts in Bengaluru, Karnataka have exclusive jurisdiction.
